These Terms of Service govern your access to and use of MyndBase, including the MyndBase website, application, AI functionality, workflows, storage, integrations, and related services (collectively, the "Service"), provided by Omekus ("Omekus", "we", "us", or "our").
MyndBase is a Company Brain and AI operating platform designed to help individuals and organizations connect their knowledge, tools, workflows, and processes and use AI to operate their work.
By creating an account, accessing, or using MyndBase, you agree to these Terms of Service.
If you do not agree to these Terms, you should not access or use MyndBase.
If you use MyndBase on behalf of an organization, you represent that you have authority to accept these Terms on that organization's behalf.
MyndBase provides tools for organizing information, managing workflows, connecting services, building Skills, using AI, automating tasks, and coordinating work across people and systems.
Features may change over time, and some functionality may be experimental, limited, or available only during Early Access.
You must be at least 13 years old to use MyndBase. If applicable law requires a higher minimum age, that requirement will apply.
You are responsible for providing accurate account information and keeping your authentication credentials secure.
You are responsible for activity carried out through your account, except where applicable law does not permit such responsibility.
If you believe your account has been accessed without authorization, you should contact us promptly.
MyndBase may allow you to create or join organizations, departments, workspaces, and other shared environments.
Organization administrators may control members, roles, permissions, integrations, workflows, and access to information within their organization.
Administrators and other authorized users are responsible for configuring access and permissions appropriately.
Omekus does not determine or resolve disputes between organizations, administrators, employees, or other users arising from organizational access, permissions, or configuration.
MyndBase allows you to work with information you choose to provide or connect, including files, documents, workflows, and information from third-party services.
You authorize Omekus to process that information as reasonably necessary to provide, operate, secure, and maintain the Service and the features you choose to use.
MyndBase does not automatically analyze or process information simply because it is available in your account. Processing generally occurs when you or an authorized user chooses to use that information with a MyndBase feature or workflow.
You are responsible for ensuring that you have the necessary rights and permissions to provide or connect information to MyndBase.
MyndBase may provide storage for files and other information used by your workflows and features.
Storing a file does not by itself mean that MyndBase automatically reads or analyzes its contents.
You may choose to make files available to an AI agent, workflow, or other feature. You are responsible for ensuring that you have the appropriate rights to use and process those files.
MyndBase may provide features that use artificial intelligence and machine learning systems.
AI-generated output may not always reflect the information provided to the system or the result you intended.
You are responsible for reviewing AI-generated output and determining whether it is appropriate for your intended use, particularly before relying on it for important decisions, communications, or actions.
AI output should not be treated as professional, legal, medical, financial, or other specialized advice unless independently reviewed by an appropriately qualified professional.
Omekus does not guarantee that AI-generated output will be accurate, complete, reliable, current, or suitable for a particular purpose.
AI models and providers may change over time, including through updates, improvements, replacements, or other technical changes.
MyndBase may allow workflows to execute manually or automatically, including through schedules, events, triggers, or other configured conditions.
Depending on your configuration, workflows may read information, generate output, communicate with connected services, or perform other actions automatically.
You are responsible for configuring, testing, monitoring, and reviewing workflows appropriately for your use case.
Automated actions may produce unexpected results. Where an error could have significant consequences, you should use appropriate safeguards or human review.
MyndBase may integrate with third-party services such as communication, storage, development, productivity, and other platforms.
When you connect a third-party service, MyndBase may interact with that service according to the permissions and scopes you or an authorized administrator provide.
Third-party services are controlled by their respective providers and may have separate terms, privacy policies, security practices, availability, limitations, and API changes.
Omekus is not responsible for third-party service outages, failures, changes, restrictions, or actions taken by those providers.
You are responsible for your use of MyndBase and for the information, instructions, workflows, integrations, permissions, and actions you configure.
You may not use MyndBase to violate applicable laws or the rights of others, interfere with the Service, or attempt to gain unauthorized access to systems or information.
MyndBase is not designed to independently determine decisions where an error could cause serious physical, financial, legal, or other significant harm.
You should not rely solely on MyndBase or AI-generated output for critical decisions involving medical treatment, emergency response, legal determinations, financial decisions, employment decisions, or other highly regulated or safety-critical activities.
If you use MyndBase in a regulated environment, you are responsible for ensuring that your use satisfies the laws, regulations, professional requirements, and internal controls applicable to you.
MyndBase, including its software, design, interfaces, branding, documentation, and underlying technology, is owned by or licensed to Omekus and protected by applicable intellectual property laws.
These Terms do not transfer ownership of our intellectual property to you.
You retain rights in information and content that you provide to MyndBase, subject to the rights of third parties.
If you provide suggestions, ideas, recommendations, or other feedback about MyndBase, you grant Omekus the right to use that feedback without restriction or compensation, including to improve or develop the Service.
MyndBase is currently provided as an Early Access service. Some features may be incomplete, experimental, unavailable, or subject to change.
We may modify, add, remove, limit, or discontinue features as the Service develops.
MyndBase may provide free AI credits or other usage allowances. These credits are promotional or service-related allowances and do not represent a permanent entitlement or monetary value.
We may modify, replace, limit, or discontinue free credits and their applicable terms.
We may introduce paid plans, subscriptions, usage-based pricing, AI credits, or other paid features in the future.
Future paid services may be subject to additional pricing, billing, renewal, cancellation, and service-specific terms presented before purchase.
Enterprise or other custom arrangements may be governed by a separate written agreement. Where such an agreement conflicts with these Terms, the written agreement will control to the extent of the conflict.
We aim to keep MyndBase available and reliable, but we do not guarantee uninterrupted or error-free operation.
The Service may be temporarily unavailable due to maintenance, updates, technical issues, security measures, infrastructure failures, third-party dependencies, or circumstances outside our reasonable control.
We may modify, suspend, replace, or discontinue all or part of MyndBase when reasonably necessary to operate or develop the Service.
We use reasonable technical and organizational measures intended to protect MyndBase and information processed through the Service. However, no system or method of transmission or storage can be guaranteed to be completely secure.
We maintain reasonable operational backups where appropriate, but backups may not prevent every form of loss or guarantee recovery of every piece of information.
To the maximum extent permitted by applicable law, Omekus is not responsible for loss, corruption, alteration, or inability to recover information resulting from circumstances outside our reasonable control, including infrastructure failures, third-party failures, unauthorized access, user actions, or configuration errors.
Our collection and use of personal information are described in the MyndBase Privacy Policy.
By using MyndBase, you acknowledge that certain features may involve processing by third-party AI, infrastructure, or integration providers as described in that Privacy Policy.
Nothing in these Terms is intended to remove privacy rights or protections that cannot legally be excluded or restricted.
You may stop using MyndBase at any time.
We may suspend or terminate an account or access to the Service where reasonably necessary to protect the Service, users, third parties, or Omekus, including where there is a violation of these Terms, unlawful activity, security risk, or misuse of the Service.
We may also suspend access where necessary to comply with legal requirements or protect the security and integrity of MyndBase.
Upon termination, your right to use the Service will end. Provisions that by their nature should continue will remain effective, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and governing law.
To the maximum extent permitted by applicable law, MyndBase is provided on an "as is" and "as available" basis.
We do not guarantee that the Service will always be available, uninterrupted, secure, error-free, accurate, or suitable for your particular requirements.
We do not guarantee the accuracy, reliability, completeness, or usefulness of AI-generated output, workflow results, or information obtained through third-party services.
You are responsible for determining whether MyndBase is appropriate for your intended use.
To the maximum extent permitted by applicable law, Omekus and its directors, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or relating to your use of or inability to use MyndBase.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to MyndBase or these Terms will not exceed the greater of:

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Omekus and its directors, officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, and expenses arising from or relating to:
Omekus will not be responsible for delay or failure to perform obligations caused by circumstances beyond our reasonable control, including natural disasters, war, civil unrest, government actions, major infrastructure failures, internet or telecommunications failures, widespread cybersecurity incidents, labor disruptions, or failures of third-party providers.
These Terms are governed by the laws of Nepal, without regard to conflict-of-law principles.
Subject to rights or remedies that cannot legally be excluded or restricted, courts of competent jurisdiction in Nepal will have jurisdiction over disputes arising from or relating to these Terms or MyndBase.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
Our failure to enforce a provision does not waive our right to enforce it later.
You may not transfer your rights or obligations under these Terms without our prior written consent where such consent is required. We may assign or transfer these Terms as part of a merger, acquisition, restructuring, sale of assets, or similar business transaction.
These Terms, together with any applicable additional terms and the MyndBase Privacy Policy, constitute the agreement between you and Omekus concerning your use of MyndBase.
We may update these Terms from time to time. When changes are material, we will take reasonable steps to provide notice. Your continued use of MyndBase after updated Terms become effective means you accept the updated Terms to the extent permitted by applicable law.
